PINK LINK TERMS AND CONDITIONS

In these terms and conditions the following words shall bear the following meaning:

Pink Link Ladies means Pink Link Ladies Limited, Cotton Court, Church Street, Preston PR1 3BY.

Member means any Member of Pink Link Ladies or any person or persons intending to or who have applied for membership of Pink Link Ladies upon the terms and conditions contained herein.

Membership Year the Membership Year will run for 12 months from the start date stated on the Application Form when a Member joins Pink Link Ladies.

Event or Events means any of the activities or events organised by Pink Link Ladies Limited for its Members.

Website means the Pink Link Ladies Website www.pinklinkladies.co.uk

 

1. Membership

Members of Pink Link Ladies will be invited to attend events organised by Pink Link Ladies. Details of such events will be uploaded on the Website as well as being emailed to all Members by e-newsletter. Events are subject to Event Terms and Conditions which can be found on the Website.

All information provided by you to us must be true and accurate at the point of applying. In the event of a change of circumstances such as moving jobs, change of contact details you must notify Pink Link Ladies by phone, email or in writing so that our records are up to date.

 

2. Membership Details

Individual Members

All applications for membership of Pink Link Ladies are to be made via the completion of an application form. If application forms are submitted via the Website or email it will be deemed that the member has signed the application form and read the terms and conditions of membership.

Members will receive confirmation of acceptance of their application by email.

On acceptance of the membership application by Pink Link Ladies, Members shall be bound during the continuance of membership by these Terms and Conditions including any amendments made in accordance with the procedure set out below.

Pink Link Ladies reserves the right at all times and in its absolute discretion to determine the number of Members in Pink Link Ladies and may accept or reject applications for membership as it feels fit. Membership can be amended and/or withdrawn at any time without notice.

All membership fees are payable in sterling, with preferred payment being an online payment. Payment can be made by BACS, debit card or by credit card, in person or by telephone. You may choose to spread payments over an agreed period by standing order, this will incur a small additional administration fee. Membership fees are revised annually and will be notified to Members in writing. The first year’s membership fee will include a non-refundable administration fee of £50. Cancellation of membership can only be made within 14 days of receipt of the confirmation of acceptance of membership, no reason for cancelling your membership is needed. Any refund payable under this provision will exclude the administration fee referred to above.

Sponsor Membership

Applications for Sponsor Membership will only be considered once all relevant supporting documentation is received as outlined in the sponsor application form.

Sponsor membership is intended for employees of the named member company. Parent or other related companies are expected to join in their own right if employees of those companies wish to receive member benefits, unless otherwise agreed with Pink Link Ladies.

Sponsor Members require a named Sponsor Member Representative in order to receive all benefits of the membership package. Sponsor membership can be transferred to a different representative within the organisation, but Pink Link Ladies must be informed of the new representatives contact details.

The individual named as the Sponsor Member Representative should have authorisation to apply for Pink Link Ladies Sponsor membership. Any disputes regarding this must be settled by the organisation.

It is the Sponsor Member Representative’s responsibility to ensure that details of Pink Link Ladies Membership and its benefits are disseminated throughout the membership organisation.

3. Terminating Membership

Membership is to be renewed annually. Pink Link Ladies will email each Member once the membership is approaching renewal. If a Member does not pay the annual membership fee then the membership is not continued and the Member will not have the benefit of membership.

Pink Link Ladies reserves the right to expel Members or to prevent any Member from participating in any Event or from renewing membership if the Member puts the organisation into disrepute or if a Member continuously fails to attend events which she has signed up to, if the Member is misusing the membership or when they promote another company that is directly in conflict with the company’s interest..

All Members are requested to give 28 days notice of their wish to terminate their Membership in writing to Pink Link Ladies.

 

4. Events

Members will be informed of forthcoming Members Events by e-newsletter, by email, by telephone or on the Website and will be required to pay the Event attendance fees prior to the Event and all Events will be subject to the Event Terms and Conditions included on the Website.

 

5. Variation of Terms & Conditions

These terms and conditions may be revised from time to time. If they are revised, we will post the revised version to you or email them to you. It will be your responsibility to keep up-to date with all such changes and your membership renewal and continued use of the Website shall be deemed acceptance of any changes to these terms and conditions.

1. These terms and conditions

1.1 Please read these terms and conditions carefully and make sure you understand them. They set out the obligations (the “Terms”) between you and Pink Link Ladies Ltd (“Pink Link Ladies Ltd”, “We”, “Us”, or “Our”). The Terms explain what happens once you have placed an order, how to make payment, how you and we may change or end the contract, what to do if there is a problem and other important information. The Terms are only available in English.

1.2 You should retain a copy of these Terms for future reference.

1.3 These Terms cover the provision of the events that We organise (the “Event”).

1.5 If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address, you provided to us at the time you made your booking.

1.6 When we use the words “writing” or “written” in these terms, this includes emails.

 

2. Our contract with you

2.1 Any description, advertisement, documentation issued by us and any description contained on our website or any promotional material relating to the Event are issued and published for the sole purpose of giving you a general idea of the Event, its content and objectives. Subject to any obvious error, the description and price of the Event will be as quoted on the website or in promotional material at the date your booking is made. All payments under these Terms shall be in UK pounds sterling.

2.2 Upon submitting a booking for a place or places on an Event, whether online, in writing or by telephone, you will be given confirmation of our acceptance of your order (a “Booking Confirmation”) whether verbally, in writing or both.

2.3 A Booking Confirmation or attendance at the Event (where the Booking Confirmation has not been received prior to the Event) brings into existence a legally binding contract based on these Terms between you and us.

2.4 Where you are not a consumer, you acknowledge and agree that you have authority to bind any business on whose behalf you have purchased a place or places on an Event.

2.5 Where you are not a consumer, these Terms and any document expressly referred to in them constitute the entire agreement between you and us and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.

2.6 Where you are not a consumer you acknowledge and agree that in entering into this contract you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or any document expressly referred to in them.

2.7 Where you are not a consumer, you and we agree that neither of us shall have any claim for innocent or negligent misrepresentation based on any statement in this contract.

 

3. Price and payment

3.1. You may purchase the Event by paying the appropriate fees as set out on the website. Payment can be made through online booking systems. Once a booking is made, cancellation may only be made in accordance with Clause 6 below.

3.2 In other cases, an invoice for payment of a deposit representing no less than 25% of the booking fees shall be sent to the address you provide (whether a physical address or an email address) at the time of booking, and it is your responsibility to ensure the address provided is correct. Such deposit will be payable at the time of booking and is non-refundable although Clause 6 may apply.

3.4 You are required to ensure that any invoice is paid within 30 days of the date on the invoice or less when specified on the invoice.

3.5 Attendance at the Event before we receive payment will form a legally binding contract and any outstanding fees will become payable in accordance with Clause 3.

3.6 Time for payment is of the essence. Where any fees due are not paid in full by the due date, without prejudice to any other rights and remedies available to us if payment is not made in accordance with Clause 3, interest on the overdue balances (including any period after the date of any judgement or decree against the Customer), and late payment fees, fall due and payable  and are calculated upon the basis set out in the Late Payment of Commercial Debts ( Interest ) Act 1998 (as amended). For the avoidance of doubt, this includes

  • Interest at a rate of 8% per annum which shall accrue on a daily basis, and apply from the due date for payment until actual payment in full, whether before or after judgment; and
  • for a debt less than £1,000, the sum of £40; or
  • for a debt of £1,000 or more, but less than £10,000, the sum of £70; or
  • for a debt of £10,000 or more, the sum of £100 is payable to cover administration costs of recovering the debt.
  • We may take legal action in order to recover any outstanding fees.

 

4. Our rights to make changes

4.1 We reserve the right to change venues (within the same region).

 

5. About the Event(s)

5.1 The Event(s) shall take place on the date and at the venue set out in the Booking Confirmation unless otherwise changed in accordance with Clause 4.1. We shall use reasonable skill and care to deliver the Event and comply with the information you have been provided about it.

 

6. Cancellation, Transfer or Postponement

6.1 You can cancel or transfer your booking in the following circumstances:

6.1.1    Where you are a consumer, you have the right to cancel within 14 days of receiving the Booking Confirmation (the “Cancellation Period”). This does not apply if the booking is made less than 14 days before the Event is due to take place, in which case

6.1.2    You have the right to transfer to another Event providing you give us at least 5 days’ notice. However, we cannot guarantee availability on your replacement Event. Where we agree to the transfer:

  1. i) your original acceptance of these terms and conditions will also transfer
  2. ii) the appropriate fees for the replacement Event are less than the Event you originally booked, we will refund the difference

iii) if the appropriate fees for the replacement Event are more than the Event you originally booked, we will send a revised invoice for payment to the address, which you will provide when making the request to transfer (whether a physical address or an email address). You should pay the invoice in accordance with Clause 3.

6.1.3    Outside of the Cancellation Period detailed in clause 6.1.1 you may cancel your Event booking up to 5 days before the date of the Event, however you may not receive a refund or charges may apply. Refunds will be made in accordance with clause 6.4

6.1.4    You have the right to change your Event booking where there is a change in venue made pursuant to Clause 4.1

6.1.5    Where you or other delegates are unable to attend, substitute delegates may be accepted

6.2 You may only cancel your Event booking in writing using the details provided in clause 1.4. When contacting us, please provide your name, address, details of the order, phone number and email address.

6.3 Your rights if we cancel an Event:

(a) Wherever possible, we will contact you in advance to tell you we will be cancelling an Event, unless an emergency requires us to cancel the Event on the day.

(b) In the event that we cancel or postpone an Event, We will offer you a place on the next available Event. Alternatively, you may ask for a refund, which shall be made in accordance with Clause 6.4.

6.4 How we will refund you:

(a) Where an Event is cancelled pursuant to 6.1.1 and in accordance with Clause 6.2 you shall be entitled to a refund of the fees for that Event within 14 days beginning with the day on which we agree that you are entitled to a refund.

(b) Where an Event is cancelled pursuant to Clause 6.3, we will refund your fees for the Event but not any other expenses (for example; hotel or rail fares). Your refund of Event fees will be paid within 14 days beginning with the day on which we agree that you are entitled to a refund.

(c) Where you transfer to a replacement Event pursuant to clause 6.1.2 and the fee is less than the original Event, We will refund the difference as soon as possible but in any event within 14 days beginning with the day on which we agree that you are entitled to a refund.

(d) Where you cancel your Event booking pursuant to clause 6.1.3, 6.1.4 or 6.1.5, cancellation charges may apply, or we may not be able to provide a full or partial refund.

 

7. Attending the Event

7.1 You must attend the Event on time; and

7.2 You must behave in an acceptable and safe manner as deemed by the Event coordinator; and

7.3 You must not behave in a manner in which you may cause physical or psychological harm to anyone; and

7.4 You must not be a nuisance or the cause of any disruption in the Event; and

7.5 You must comply with the Health and Safety Policy of the venue and any request made by us or the venue with regards to the Health and Safety Policy; and

7.6 You must not bring any dangerous or hazardous items to the Event; and

7.7 You must not cause any damage to any part of the venue or its contents, inside or outside the venue. You are solely liable for any damage caused by you and shall fully reimburse us in relation to any damage so caused; and

7.8 You must keep your personal belongings with you at all times and we accept no liability for any damage, loss or theft of any of your belongings or other items brought to the Event.

7.9 Failure to comply with this clause may result permanent expulsion from the Event with no refund.

 

8. Summary of your legal rights

8.1 Whilst every effort is made to ensure that our Events are relevant and topical they are not always tailored or bespoke for specific businesses or individuals and therefore all warranties for fitness for purpose and all other express and implied warranties are excluded to the fullest extent lawfully permitted.

8.2 Nothing in these Terms limits or excludes our liability for:

(a) death or personal injury caused by our negligence

(b) fraud or fraudulent misrepresentation.

8.3 Our liability to you shall be limited to the price you have paid for the Event and, subject to Clauses 8.2 and 8.4. We will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract, for:

(a) any loss of profits, sales, business, or revenue

(b) loss or corruption of data, information or software

(c) loss of business opportunity

(d) loss of anticipated savings

(e) loss of goodwill

(f) any indirect or consequential loss.

8.4 If we are providing an Event at your business premises, we will make good any damage to your property caused by us while doing so. However, we are not responsible for the cost of repairing any pre-existing faults or damage to your property that we discover while providing the Event.

 

9. How we may use your personal information

9.1 We will use the personal information you provide us in accordance with our Privacy Policy which can be found on our Website.

 

10. Other important terms

10.1 If you have any disability or medical condition that requires us to make special arrangements for you or any special dietary requirements, please email us as soon as possible, at least 5 days prior to the date of the Event using the details in Clause 1.4.

10.2 We may wish to photograph or film the Event and reserve the right to do so for the purposes of promoting future Events or otherwise. You consent to us (or any other person attending the Event) photographing or filming you and any persons attending the Event with you.

10.3 For the protection of our customers and our brand we respectfully request that video and photography is only taken with our prior written consent.

10.4 Any notice or other communication given by you to us, under or in connection with this Contract shall be in writing

10.5 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

10.6 Even if we delay in enforcing this contract, we can still enforce it later. If We do not insist immediately that you do anything you are required to do under these terms, or if We delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent Us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to allow you to attend the Event, We can still require you to make the payment at a later date.

10.7 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation of the contract between us (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this contract or its subject matter or formation.
